Overview

I advise owner-managed companies on the corporate side of running a business: changing directors, issuing or transferring shares, amending articles of association, share buybacks, group restructurings and the Companies House filings that go with each. Most of this work is done on a fixed fee agreed before I start.

Much of my practice is M&A, so if you are selling a business or buying one I can take you through the whole transaction. Smaller jobs such as a share buyback or adding or removing a director are usually turned around in days rather than weeks.

How it works

  1. 01

    A free initial consultation

Call, WhatsApp or book a video call. We talk through what the work needs, what it does not, and whether I am the right fit for it.

  2. 02

A fixed fee, agreed up front

You get a written quote before any work starts. The scope and the price are agreed in advance, so there are no surprise invoices.

Done for you, start to finish

I draft the documents, negotiate with the other side where needed, and deal with Companies House, and keep you informed throughout.

    Completion, and what comes after

Signing and completion, with a clear list of anything you need to do once the work is done.

FAQs

Common questions about corporate legal work

What to expect when you instruct me on a company-law matter.

What corporate work do you handle for small businesses?

Most of it is company-law housekeeping and transactions: appointing and removing directors, issuing shares and creating share classes, share transfers and buybacks, amending articles, shareholders’ agreements, group restructurings and the Companies House filings that go with each. For buying or selling a company, see the M&A pages.

Do you work on fixed fees, and how quickly will I hear back?

Yes, for most corporate work: you get a written fixed-fee quote before anything starts, so there are no surprise invoices. For the small number of matters where a fixed fee is not appropriate, I will say so up front and agree the basis with you. I aim to answer or return calls within 24 hours, and emails sooner.

Can you help with an M&A transaction?

Yes. Buying and selling companies is the largest part of my practice. The M&A lawyers page explains how I handle a transaction from heads of terms through due diligence to completion.
