How I explain a deal

A short walkthrough of the share purchase agreement: what goes into it and how the price is structured. It is the same plain-English approach I take with clients on every transaction.

A little about me

Hi there,

I'm Malcolm Zoppi, a specialist corporate and M&A solicitor working with UK SMEs and owner-managed businesses.

I was born in the Italian-speaking part of Switzerland and have built my career in England, qualifying as a solicitor and going on to become a partner at a London law firm. Corporate and M&A work for smaller businesses has been my focus throughout.

Entrepreneurs and business owners — those who stick with it and see it through — are the backbone of our economy. If you have built a business, you know the uncertainty, the long hours and the sacrifices that came with it. Some of those problems come with the territory. Overly complex, expensive legal services should not be one of them.

That is why I started my own practice in 2020, working on fixed fees wherever possible. Since then I have handled over 300 M&A and corporate transactions for UK SMEs, acting for buyers and for sellers, so I have seen most deals from both sides. I also run my own businesses, including a property development company, which helps me understand what matters to a client beyond the legal detail.

Along the way I started a YouTube channel on M&A law, because clients who understand what they are signing get better outcomes. Many of the people I act for today found me through the videos.

In 2026 I joined Kingsley Wood as a Partner. You still deal with me directly, and behind me there is now a City of London firm with 80+ partners, property and other specialist solicitors, and £30m of professional indemnity cover.

My goal has always been, and remains, to make life easier for UK small business owners. If you would like to talk through a deal, I offer a free initial consultation.

Kind regards,

Malcolm Zoppi

Who I act for

Business owners and first-time buyers, on deals from £100k to £10m

Most of my clients are buying their first business, buying another to grow the one they own, or selling the business they built. The sectors I act in most are CQC-regulated care, manufacturing and construction.

My practice is built for clients who want a solicitor closely involved in their deal. Private equity houses running deals through their own teams are usually better served by a larger firm, and I am happy to say so on the first call. See who I act for and the answers to common questions on fees, timescales and deal sizes.

How I work

Fixed fee, done for you, in four steps

You know the price before any work starts, and you know who is doing the work.

  1. 01

    A free initial consultation

Call, WhatsApp or book a video call. We talk through what the work needs, what it does not, and whether I am the right fit for it.

  2. 02

A fixed fee, agreed up front

You get a written quote before any work starts. The scope and the price are agreed in advance, so there are no surprise invoices.

  3. 03

Done for you, start to finish

I draft the documents, negotiate with the other side where needed, and deal with Companies House, and keep you informed throughout.

  4. 04

    Completion, and what comes after

Signing and completion, with a clear list of anything you need to do once the work is done.

What you can expect

  • A fixed fee agreed in writing before any work starts.
  • I lead every deal personally, supported by my team, so you are not passed from person to person.
  • Plain English. If a clause is unclear, I will explain it until it is not.
